Please read this agreement before you subscribe to Intercutter.
This is a binding agreement between Alanas Miežetis, operating under Individual Activity Certificate No. 1210380, registered at Upelio g. 11, Kveciai, LT-97163, Kretingos r. sav., Republic of Lithuania ("Intercutter", "we", "our", or "us"), and the person or business subscribing to the Service ("Client" or "you"). It covers the subscription video editing service offered at intercutter.com (the "Website") and the delivery and project platforms used alongside it.
Subscribing means you accept these Terms in full. If any part of them doesn't work for you, please don't subscribe, and get in touch instead.
1. The Service
Intercutter is a monthly video editing subscription. Once subscribed, the Client sends editing requests through Notion, and finished work comes back through Frame.io. Only one request is worked on at a time per subscription.
What's included:
- Professional editing and post-production, with rough and final cuts repeated until the Client is happy with the result;
- Stock footage and music from Intercutter's Artlist and Storyblocks subscriptions, used in deliverables where needed;
- Revisions within the scope of the original request, with no cap on how many rounds;
- Project communication and tracking through Notion.
Outside the scope: raw footage capture (filming), original motion graphics or 3D animation work, photography, and anything that isn't reasonably video post-production.
2. Subscription and Billing
The monthly rate is whatever is shown on intercutter.com when you subscribe. Payments run through Stripe, and subscribing authorizes Intercutter to charge that amount every billing cycle automatically, until paused or cancelled.
The price you subscribe at is locked in. If the price changes later, it only applies to new subscriptions: you keep yours for as long as your subscription stays active, including while paused. If you cancel and come back later, the price at that time applies.
Listed fees don't include tax. Whatever tax applies where you're based is your responsibility to account for.
Stripe's own processing fees are never refunded, under any circumstances.
3. Pausing the Subscription
A subscription can be paused once in any 30 day period. To pause, email hello@intercutter.com at least 5 business days before your next billing date. The pause starts on that billing date: you keep using the service until the end of the period you've already paid for, and after that no payment is taken and no requests are worked on.
To come back, email hello@intercutter.com. Billing restarts on the day you resume, with a new monthly period starting that day.
Pausing is simple, not a savings account: unused days from a period you've already paid for don't carry over or get refunded as credit, and pausing never extends or resets a period you've paid for.
Intercutter may, at its discretion, agree in writing to carry unused days over as a one-off exception. This does not create a right to carry days over in future.
4. Cancellation
You can cancel anytime by emailing hello@intercutter.com. The cancellation takes effect at the end of the current billing cycle, meaning no more charges after that, but access continues through the period you already paid for.
Intercutter can end a subscription immediately and without a refund if the Client breaks these Terms, is abusive toward Intercutter, or files a chargeback without reaching out in writing first.
5. Refund Policy
Cancel within 7 days of your first payment and you'll get 75% of that billing period's fee back.
Past the 7 day mark, payments aren't refundable. Work on each billing period starts right away, so there's no refund for a period that's already partly used.
If a refund is issued, ownership of anything produced during that billing period reverts to Intercutter, and the Client must stop using those materials unless agreed otherwise in writing.
Stripe's processing fees still aren't refunded, same as above.
Intercutter can decline future subscriptions from anyone who has made repeated refund requests, filed chargebacks, or otherwise misused this policy.
6. Intellectual Property and Ownership of Work
Once delivered, every video ("Project") belongs entirely to the Client. Intercutter assigns the copyright and any related rights over on delivery and keeps no ownership claim afterward.
The Client confirms that whatever they hand over, raw footage, scripts, logos, music, or anything else, is either owned by them or properly licensed to them. Getting the right permissions for supplied material is the Client's job, and Intercutter isn't liable for third-party claims that come from material the Client provided.
7. Licensed Assets
Where useful, Intercutter adds stock footage and music from its Artlist and Storyblocks subscriptions into deliverables, at no extra cost to the Client.
These licenses cover production and ordinary digital distribution. They may not stretch to things like broadcast television, paid media placements, or large-scale commercial redistribution, and Intercutter isn't responsible for claims arising if a deliverable is used that way. If Intercutter notices a planned use might need extra licensing, it'll flag that and help point the Client toward the right rights holder, but checking and securing any such license is ultimately on the Client.
8. Client-Supplied Raw Footage and Files
Getting raw footage and other project assets to Intercutter is the Client's responsibility. Anything the Client supplies stays the Client's property throughout.
Raw footage is kept for up to 30 days after final delivery. Exported deliverables stay downloadable on Frame.io for 60 days after delivery. Both are deleted for good once those windows close, so the Client should download and back up their own copies before then.
Intercutter won't be held liable for lost or corrupted Client files caused by technical issues, a third-party platform going down, or anything else reasonably out of its control.
9. Delivery and Turnaround
The usual target is 1 to 2 business days per request, though that's an estimate rather than a promise. Timing can shift with how complex a request is, whether the needed materials are available, and how much work is in the queue. Intercutter will give a heads up if something is going to run late.
Deliverables arrive via Frame.io, so keeping access to that account is on the Client.
10. Showcasing Client Work
Intercutter may feature finished Projects in its portfolio, on intercutter.com, and across its social channels for promotional purposes, unless the Client asks otherwise.
If a Client would rather their work stay private, they can request an NDA by emailing hello@intercutter.com. Once a mutual NDA is signed, Intercutter treats the engagement, including the Client's identity, as fully confidential and won't reference or showcase it.
It's best to raise an NDA before or right at the start of a project. A request made after work is already published will be honored going forward, on a best-effort basis.
11. Confidentiality
Whether or not a formal NDA exists, Intercutter keeps Client materials, raw footage, business details, and project information confidential. That information is only shared where needed to deliver the Service, for example through Frame.io or Notion, or where the law requires it.
12. User Representations
By subscribing, the Client confirms that:
- they have the legal capacity to enter into this Agreement;
- there is no minimum age, but anyone under 18 has a parent's or guardian's consent;
- they'll use the Service only for lawful purposes, following applicable law;
- everything they provide to Intercutter is owned by or properly licensed to them.
13. Prohibited Uses
The Client agrees not to:
- use the Service to produce anything unlawful, defamatory, obscene, or that infringes someone else's rights;
- try to reverse engineer, copy, or resell Intercutter's methods or process;
- resell or sublicense access to the Service, or its deliverables, to anyone else;
- act abusively, threateningly, or in a harassing way toward Intercutter.
14. Disclaimer of Warranties
The Service is offered as is and as available. Intercutter can't promise the Service will match every creative expectation, or that estimated delivery times will always hold, and disclaims other implied warranties to the extent the law allows.
15. Limitation of Liability
Within what Lithuanian law and applicable EU consumer protection rules allow, Intercutter's total liability for any claim tied to this Agreement is capped at the subscription fee paid for the billing cycle the claim relates to.
Intercutter isn't liable for indirect, incidental, consequential, or punitive damages, things like lost revenue, missed business opportunities, or reputational harm, arising from using or being unable to use the Service.
Nothing here limits any consumer rights you hold under EU law that can't be contracted away.
16. Indemnification
The Client agrees to defend and hold harmless Alanas Miežetis, trading as Intercutter, against any claim, cost, or expense (including reasonable legal fees) stemming from:
(a) the Client breaching this Agreement;
(b) the Client using deliverables in a way that infringes someone else's intellectual property;
(c) the Client failing to secure the rights or permissions needed for material they supplied.
17. Force Majeure
Neither side is in breach for a delay or failure caused by something reasonably beyond their control, such as internet infrastructure failures, a third-party platform going down, natural disasters, illness, or government action. The affected party should let the other know as soon as practical and pick things back up once reasonably possible.
18. Electronic Communications and Signatures
Subscribing means you're fine receiving communications from Intercutter by email and through the platforms the Service runs on. Agreements, notices, invoices, and anything else sent electronically count as meeting any legal requirement for something to be "in writing."
Completing the subscription flow online, including clicking "Subscribe" (or similar) and confirming you agree to these Terms, forms a legally binding agreement.
19. Modification of Terms
These Terms can be updated at any time. Updates get published on intercutter.com and take effect 14 days later. Using the Service after that date means you accept the change; if you'd rather not, you can cancel before it kicks in.
20. No Implied Waiver
Not enforcing a part of this Agreement at some point doesn't mean giving up the right to enforce it later. Any waiver has to be in writing to count.
21. Severability
If a court finds part of this Agreement invalid or unenforceable, that part is removed and the rest of the Agreement keeps going as normal.
22. Governing Law and Dispute Resolution
Lithuanian law governs this Agreement. If a dispute comes up, both sides agree to first try resolving it through good-faith written discussion, within 30 days of a written notice sent to hello@intercutter.com. If it's still unresolved after those 30 days, it goes to the competent courts of the Republic of Lithuania.
Nothing here limits any rights you have as a consumer under applicable EU law.
23. Entire Agreement
This Agreement is the whole understanding between the parties on this subject, and it replaces any earlier discussions or agreements, written or spoken.
